Items this document does not state (1)
These are items the company does not state in this document. We do not leave them blank, nor fill them in from other sources or by inference.
The reasons the company gives
The company's own explanation, not something inferred from the numbers. The revision to directors' compensation is intended to strengthen the linkage with corporate and shareholder value through stock-based compensation, increase the proportion of stock-based compensation by reducing the cash compensation limit, and keep the overall compensation limit unchanged. The revision to compensation for audit & supervisory board members is due to the increased roles and responsibilities of audit & supervisory board members resulting from stronger corporate governance. The company opposes the shareholder proposals on the grounds of balancing investment in talent and growth with shareholder returns, its existing shareholder return policy, and efficient operation of the Board of Directors.
