The reasons the company gives
The company's own explanation, not something inferred from the numbers.ISS has adopted a policy of generally recommending votes against the election of a company's chief executive officer when the company's average ROE for the past five fiscal years is below 5% and its ROE for the most recent fiscal year has not improved to 5% or higher. The Company understands that ISS made its recommendation because the Company recorded an impairment loss in the fiscal year ending March 2026, resulting in ROE of negative 6.1% and a five-year average of 4.8%. The Company explained that both individuals have led growth investments and the discontinuation, downsizing, and withdrawal from unprofitable businesses, and are essential to future business portfolio reform and improved performance.
