  1. FY2026ReframedAnnual report

「In 2025, we changed the performance-linked stock compensation system for officers from a stock delivery trust to an RS trust, referred to below as the “System.” Under the former stock delivery trust, points were granted and accumulated each fiscal year as stock-based compensation, and actual shares were delivered upon retirement. Under the System, which uses the framework of the former system, restricted stock (RS, or Restricted Stock) is delivered each year and the transfer restrictions are lifted upon retirement.」

The performance-linked stock compensation plan was changed from the existing stock delivery trust to an RS trust, and executive officers were added as eligible participants from fiscal 2025. The trust period has been extended through the end of August 2028.
  2. FY2023Further extension of the trust termAnnual report

On 24 November 2022, it made an additional cash contribution to the trust so that it could acquire shares corresponding to the points expected to be granted during the extended term.」

In addition, on 21 November 2019, the company made an additional cash contribution to the trust so that it could acquire shares corresponding to the points expected to be granted during the extended term.」

  5. FY2016First statedAnnual report

「The purpose of this system, introduced from fiscal 2016, is to clarify the linkage between directors' compensation and the company's performance and share value, and to heighten directors' awareness of contributing to improved medium- to long-term performance and increased corporate value by having them share with shareholders not only the benefits of a rising share price but also the risks of a declining share price.」

From fiscal 2016, the company discontinued new grants of the conventional stock acquisition rights and introduced a stock-based compensation system linked to performance and financial indicators.
