Offsetting Investment Consideration and Solar Power Plant Transfer Receivables Involving the Representative Director's Wife

「To pay the acquisition consideration for the investment, the Company entered into an agreement during the cumulative third quarter to transfer 2 of the solar power plants that were selling electricity and had been scheduled to be sold to Komaneci to Global Energy Co., Ltd., an asset-management company of Ms. Jiang Min. The Company also acquired the investment interest in Shanghai Rongqin Healthcare that had been acquired by its consolidated subsidiary 吉奥莱科特医疗健康科技（上海）有限公司, assumed the obligation to pay the investment consideration to Ms. Jiang, and offset ¥1.8 billion in receivables and payables among the four parties: Ms. Jiang, as creditor under the Shanghai Rongqin investment-interest transfer agreement; the Company, as debtor; Area Energy, as creditor under the transfer agreement for the 2 solar power plants; and Global Energy, as debtor.」
