「Although our policy is not to engage in transactions or other dealings with a controlling shareholder, if we exceptionally do so, our basic policy is to conduct the transaction on appropriate terms equivalent to general transaction terms and deliberate it at a meeting of the Board of Directors so that the interests of shareholders other than the controlling shareholder are not impaired. We also have a basic policy of ensuring that such transactions are conducted legally and on appropriate terms, in the same manner as transactions with other third parties. Where necessary, we seek the opinions of external experts, including lawyers and accounting auditors, to ensure the fairness of transactions and protect the rights of minority shareholders.」
