The reasons the company gives

The company's own explanation, not something inferred from the numbers.

The company determined that bringing the cashless payments business into the Group and generating synergies with the digital marketing business of ユニヴァ・ジャイロン and the growth-support business of UNIVA証券 would contribute to achieving the growth strategy and numerical targets set out in its medium-term management plan. In addition, based on the valuation of the shares, the acquisition price was lower than expected, leaving sufficient funds available for the acquisition. The company determined that sole ownership would provide greater flexibility in enhancing corporate value than sharing ownership with UCH.
