「Our policy is, in principle, not to conduct transactions with the controlling shareholder. If such a transaction is considered, the Board of Directors will deliberate fully and make a decision after examining the reasons and necessity for the transaction, the appropriateness of its terms and decision-making process, and other matters, so as not to harm the interests of minority shareholders.」
The company’s policy of generally not conducting transactions with the controlling shareholder, together with Board deliberation and related-party transaction controls when such transactions are considered, was added to this walk for the first time as a measure to protect minority shareholders. The disclosure also stated that there were no applicable transactions with the controlling shareholder or related parties.
