「Medlive is a joint venture between our Company and Tiantian Co., Limited. In connection with the decision described above, at a Board of Directors meeting held on 18 June 2021, we decided to allow our right to nominate a majority of Medlive's directors under the joint-venture agreement with Tiantian to expire. As a result, Medlive and its subsidiaries were removed from our consolidation following the loss of control and became equity-method affiliates.」
In connection with Medlive's planned new listing on the Main Board of the Hong Kong Stock Exchange, the Group disclosed that it would allow its right to nominate a majority of directors to expire, moving Medlive and its subsidiaries from consolidated subsidiaries to equity-method affiliates. It also expected to record approximately ¥10 billion in operating profit in the first quarter of fiscal 2021.
