The reasons the company gives
The company's own explanation, not something inferred from the numbers. The timing of JAICデータダイナミクス株式会社's funding needs was pushed back from the initially expected timing, changing the assumptions underlying the bridge financing, which was premised on providing funds for a short period. As a result, the parties did not enter into a bond subscription agreement. The Company therefore decided to make the equity investment directly, as originally planned. Although the Class A preferred shares carry no voting rights, they have priority over common shareholders in the distribution of residual assets. The Company determined that this would protect the investment economically without affecting its voting rights ownership ratio in the company.
