「Compensation, etc. for directors other than directors serving as Audit and Supervisory Committee members and outside directors will consist of fixed “basic compensation” and “bonuses” that vary according to short-term performance and other factors. The compensation structure for executive directors will be 80% basic compensation and 20% bonuses.」
The policy has changed from solely fixed cash compensation to a compensation structure for executive directors combining basic compensation with bonuses based on performance and contributions. - FY2021First statedAnnual report
「The only type of compensation, etc. paid to directors will be basic compensation, which is fixed cash compensation. The directors currently responsible for the Company's business execution were founding members of the Company and already hold a certain number of the Company's shares. Accordingly, changes in shareholder value reflecting annual and medium- to long-term performance are linked to changes in the value of their shareholdings, and the Company considers this to effectively incorporate performance-linked compensation.」
The policy states that director compensation will consist solely of fixed cash basic compensation and that, at present, no non-cash compensation, such as performance-linked bonuses or share-based compensation, will be established.
