The reasons the company gives
The company's own explanation, not something inferred from the numbers. This disposal is being made in connection with the continuation of the incentive plan for directors and other eligible officers and employees using the executive compensation BIP Trust and share-grant ESOP Trust. The shares to be disposed of are scheduled to be delivered to directors and other eligible officers and employees through the trusts. As they are not expected to enter the stock market all at once, the impact on the secondary market is expected to be limited, and the number of shares to be disposed of and the resulting dilution are considered reasonable.
